CARDSIGHT AI, INC. GIVEAWAY TERMS AND CONDITIONS

1. OVERVIEW

These Terms of Service ("Terms") govern your participation in the CardSight AI giveaway (the "Giveaway") conducted on X (formerly Twitter). The Giveaway is operated by CardSight AI, Inc., a Delaware corporation ("we," "us," or "our"). By participating in the Giveaway, you agree to these Terms.

2. ELIGIBILITY

To participate in the Giveaway, you must:

• Be at least 18 years of age at the time of entry
• Be a legal resident of the United States
• Have a public X (formerly Twitter) account
• Follow our X account (@cardsightai)
• Comply with all provisions of these Terms and X's Terms of Service

Employees of CardSight AI, Inc., their immediate family members, and persons living in the same household are not eligible to participate.

3. GIVEAWAY PERIOD

The specific start and end dates for each Giveaway (the "Giveaway Period") will be published on our X account (@cardsightai). We reserve the right to extend or shorten any Giveaway Period at our sole discretion. It is your responsibility to check our X account for the current Giveaway Period details before participating.

4. HOW TO ENTER

To enter the Giveaway, you must:

• Follow our X account (@cardsightai)
• Post a photograph of a baseball card on X during the Giveaway Period
• Tag our account (@cardsightai) in your post
• Ensure your X account is public so we can see your entry

Each valid post that meets these requirements constitutes one (1) entry into the Giveaway. There is no limit to the number of entries you may submit.

5. IMAGE REQUIREMENTS AND RIGHTS

5.1 Requirements

All submitted images must:

• Be original photographs taken by you using a cell phone camera in a real-world setting
• Clearly depict exactly one (1) valid baseball card per image
• Be in focus and of sufficient quality to be used for training computer vision models
• Not contain watermarks, offensive content, or infringe on third-party rights
• Be automatically detected as a valid baseball card by our AI model when reviewed for winner validation

Synthetic images, digitally created or altered images, screenshots, scanned images, or images created using AI generation tools are not permitted. Images must be natural photographs captured in real-world settings.

5.2 License and Ownership

By posting images and tagging our account, you hereby:

• Grant CardSight AI, Inc. a perpetual, worldwide, royalty-free, non-exclusive license to use, reproduce, modify, adapt, publish, distribute, and display the images for any purpose, including but not limited to training artificial intelligence and computer vision models
• Acknowledge that we may download, store, and use your submitted images for our business purposes
• Waive any moral rights or similar rights you may have in the images to the extent permitted by law

5.3 Representations and Warranties

You represent and warrant that:

• You are the sole creator and copyright owner of all images you submit
• You have the legal right to grant the rights specified in these Terms
• Your submissions do not violate any applicable laws or infringe upon the rights of any third party

6. PRIZES AND WINNER SELECTION

6.1 Prizes

The specific prizes for each Giveaway will be published on our X account (@cardsightai). Prize details, quantities, and values may vary between different Giveaways. It is your responsibility to check our X account for the current prize information before participating.

We reserve the right to substitute any prize with another of equivalent value without prior notice.

6.2 Winner Selection

Winners will be selected by random drawing from all eligible entries received during the Giveaway Period. Drawing will be conducted within five (5) business days after the end of the Giveaway Period.

Prizes will be awarded in descending order of value, starting with the highest value prize. Being selected as a winner for one prize does not remove your entries from the pool for subsequent prize drawings. You may win multiple prizes.

6.3 Winner Validation and Notification

When a winner is selected, we will review all of their submitted entries to ensure they comply with these Terms. If any entries are found to be invalid (including but not limited to images that do not contain valid baseball cards as detected by our AI, duplicate images, or synthetic images), that winner will be disqualified and a new winner will be selected.

Winners will be notified via X (formerly Twitter) direct message within five (5) business days of the drawing. To claim a prize, winners must respond within seventy-two (72) hours of notification. If a winner fails to respond within this timeframe, they forfeit their prize, and an alternate winner will be selected from the remaining eligible entries.

7. DATA COLLECTION AND USE

7.1 Public Information Collection

We collect publicly available information from your X (formerly Twitter) profile, including but not limited to your username, display name, profile information, and posts. We also collect the images you post when tagging our account.

7.2 Privacy Policy

Your participation in the Giveaway is also governed by our Privacy Policy, which is incorporated by reference into these Terms. Our Privacy Policy details how we collect, use, and disclose information. You acknowledge that you have read and understand our Privacy Policy, which can be found at https://cardsight.ai/privacy.

7.3 Image Data Use

All images submitted will be used to train our computer vision models and may be used for other purposes at our discretion. Images may be modified, reproduced, and incorporated into our technological systems indefinitely.

8. LIMITATIONS OF LIABILITY

By participating in the Giveaway, you agree to release, discharge, indemnify, and hold harmless CardSight AI, Inc. and its affiliates, directors, officers, employees, and agents from any liability, losses, damages, or injuries arising out of or relating to your participation in the Giveaway.

IN NO EVENT SHALL CARDSIGHT AI, INC. BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE GIVEAWAY OR THESE TERMS.

9. DISCLAIMERS

THE GIVEAWAY IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

10. CHANGES, TERMINATION, AND ENFORCEMENT

We reserve the right to:

• Modify these Terms at any time
• Cancel, suspend, or modify the Giveaway if it cannot be conducted as planned
• Disqualify any participant who tampers with the entry process, violates these Terms, or acts in an unsportsmanlike or disruptive manner
• Review all entries submitted by potential winners to verify compliance with these Terms
• Ban users from participating in future Giveaways for violations of these Terms

10.1 Prohibited Submissions

Users found submitting prohibited content will forfeit all entries for the current Giveaway and will be banned from participating in future Giveaways. Determination of what constitutes prohibited content is at the sole discretion of CardSight AI, Inc.

Prohibited submissions include but are not limited to:

• Duplicate or substantially similar images of the same card
• Images generated or modified by AI tools
• Images not taken with a cell phone camera in a real-world setting
• Scanned images of baseball cards
• Screenshots of digital baseball cards or online images
• Multiple posts of the same image with minor alterations

We reserve the right to employ technological measures to detect prohibited submissions.

10.2 Illegal Content

Any images containing illegal content or depicting illegal acts will be turned over to law enforcement authorities along with all available information about the user who submitted such content. Users submitting such content will be permanently banned from participating in any future Giveaways.

11. THIRD-PARTY PLATFORM

This Giveaway is conducted on X (formerly Twitter), which is a third-party platform. Your use of X is governed by X's Terms of Service and Privacy Policy. We are not responsible for X's policies or practices. This Giveaway is in no way sponsored, endorsed, administered by, or associated with X.

12. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms shall be governed by the laws of North Carolina, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Giveaway shall be submitted to confidential binding arbitration in Charlotte, North Carolina, except that you or CardSight AI, Inc. may seek injunctive or other appropriate relief in any state or federal court.

13. MISCELLANEOUS

13.1 No Purchase Necessary

No purchase is necessary to enter or win. A purchase will not increase your chances of winning.

13.2 Taxes

All federal, state, and local taxes, and all similar fees and assessments, are the responsibility of the prize winner.

13.3 Void Where Prohibited

This Giveaway is void where prohibited by law.

13.4 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

13.5 Entire Agreement

These Terms constitute the entire agreement between you and CardSight AI, Inc. regarding the Giveaway.

13.6 Intellectual Property

All trademarks, service marks, trade names, logos, and other branding elements of CardSight AI used in connection with the Giveaway are the property of CardSight AI, Inc. Nothing contained in these Terms should be construed as granting any license or right to use any trademarks without the prior written consent of CardSight AI, Inc.

13.7 Age Verification

CardSight AI, Inc. reserves the right to verify the age and eligibility of any participant at any time. If a participant is found to be ineligible, we reserve the right to disqualify that participant and revoke any prizes awarded.

13.8 Entry Limitations

While there is no limit to the number of valid entries a participant may submit, CardSight AI, Inc. reserves the right to limit entries from any participant if we determine, in our sole discretion, that the participant is submitting entries at a volume or frequency that suggests automated submission or other forms of system abuse.

13.9 Electronic Communications Consent

By participating in the Giveaway, you consent to receive communications from us electronically via X (formerly Twitter) direct messages and other electronic means. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.

13.10 Force Majeure

CardSight AI, Inc. will not be liable or responsible for any failure to perform, or delay in performance of, any of our obligations under these Terms that is caused by events outside our reasonable control, including but not limited to: acts of God, fire, flood, epidemic, earthquake, weather conditions, strikes, internet service provider failures or delays, power failures, war, terrorism, riot, civil commotion, or restriction by government or legal authority.

15. ACKNOWLEDGEMENT

BY PARTICIPATING IN THE GIVEAWAY, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS, UNDERSTAND THEM, AND AGREE TO BE BOUND BY THEM. IF YOU DO NOT AGREE TO THESE TERMS, YOU MAY NOT PARTICIPATE IN THE GIVEAWAY.
